On August 3, 2018, ICSID proposed comprehensive changes to modernize its rules for resolving disputes between foreign investors and states. ICSID’s existing rules for fact-finding have been amended significantly.The proposals also include an entirely new set of rules on mediation. They respond to the requests by states and investors to provide greater mediation capacity, and more generally, to the objective of ICSID to provide parties with a greater breadth of dispute resolution tools. The International Centre for Settlement of Investment Disputes (ICSID) has embarked on the fourth ICSID Rules amendment process in ICSID history. The previous amendment processes brought about notable additions to the ICSID Rules, such as the procedure for summary dismissal of unmeritorious claims, enhanced transparency in the arbitral process (including publication of at least excerpts of the ICSID awards), and the procedure for third-party intervention. What are the new potential rules amendments? What are their objectives and innovations? What impact will they have on the ISDS reform? Does Investor-State Dispute Settlement Have a Place in Trade Deals Such as NAFTA?

Chapter 11 of the North American Free Trade Agreement (NAFTA) deals with investor-state arbitration (ISA), which is a mechanism that allows an investor of a NAFTA country to pursue legal action against the government of another NAFTA country for allegedly breaching its investment obligations under the treaty. Instead of in national courts, these cases are dealt with behind closed doors by un-appointed arbitrators. Some feel that this private process is not ideal and unnecessary because domestic legal systems are robust enough to protect foreign investors. Others view this arbitration system as a beneficial way to de-politicize investment disputes, removing national courts — which could show bias in favor of their own nation — from the equation. CIGI senior fellows Armand de Mestral and David Schneiderman explain the reasoning behind Chapter 11’s inclusion in the original NAFTA agreement, though they disagree on how to proceed with its renegotiation; one sees the benefits of ISA and encourages further enhancements, while the other believes that Chapter 11 should be repealed. Both, however, agree that that it is highly unlikely Canada, the United States or Mexico will walk away from the agreement entirely.

This special edition of Talking Disputes series discusses the recent arbitral award in the investor-state dispute Philip Morris v. Uruguay (ICSID Case No. ARB/10/7). We welcome your feedback: https://www.surveymonkey.com/r/GMSZMXH This case was filed by Swiss and Uruguayan subsidiaries of the tobacco giant Philip Morris International (jointly referred to as “Philip Morris” or the “Claimants”) in 2010, on the basis of the 1988 bilateral investment treaty (BIT) between Switzerland and Uruguay and the Convention on the Settlement of Investment Disputes between States and Nationals of Other States (ICSID Convention). In this dispute, Philip Morris took issue with Uruguay’s tobacco control measures including a single presentation requirement that allows only one variant of cigarettes per brand family and also the requirement of increasing the size of graphic health warnings from 50% to 80% appearing on cigarette packages. In its July 2016 award, the tribunal held that a trademark holder does not enjoy an absolute right of use, free of regulation, and that the use of trademark in commerce is subject to the state’s regulatory power. The tribunal ultimately found that the measures were a valid exercise by Uruguay of its police powers for the protection of public health, and cannot constitute an expropriation of Philip Morris’ investment. The arbitrators also found no violation of the “fair and equitable treatment” requirement under the BIT. The tribunal considered among other issues that the World Health Organization’s Framework Convention on Tobacco Control (FCTC) is a point of reference on the basis of which one could determine the reasonableness of the measures. The tribunal also dismissed Philip Morris’ other claims and ordered the Claimants to pay Uruguay $7 million as reimbursement of legal expenses. Nestor Morera is a Costa Rican criminal attorney and expert witness He says the government filed criminal charges against David Aven and Jovan Damjanac with no proof or evidence, and no proof of intent.
